Terms of Service
Last updated: October 19, 2026
These Terms of Service ("Terms") govern access to and use of FieldDay, business software for small landscaping and snow-removal companies, including the website at fielddaypro.com, the application at app.fielddaypro.com, and related features and support (together, the "service"). The service is provided by FieldDay ("FieldDay," "we," "us," or "our"). FieldDay is currently operated by its owners and has not yet been organized as a separate legal entity. We intend to form a business entity in Illinois to operate FieldDay. When it is formed, that entity will provide the service under these Terms, and we will let you know.
1. Agreement and acceptance
How you accept. Where we show a notice that taking an action means you agree to these Terms and our Privacy Policy, with links to both, you accept these Terms by taking that action, such as creating an account, continuing with Google, accepting an invitation, starting a free estimate, or subscribing. Signing in with Google or another sign-in method does not replace that acceptance; the same Terms apply however you sign in. If you do not agree, do not use the service.
Business customers and authorized users. If you use the service for a business, "you" means that business (the "customer"), and the customer is bound by these Terms. The person who accepts these Terms for a business represents that they are authorized to do so. People the customer invites or allows to use its account ("authorized users"), such as crew members or office staff, must follow these Terms, and the customer is responsible for their activity in its account.
Other documents. Our Privacy Policy explains how we handle personal information. Plan, price, and billing details shown when you subscribe also form part of your agreement with us.
2. Eligibility and accounts
You must be legally able to enter into a binding contract and must use the service for lawful business purposes. Provide accurate account information and keep it current. You are responsible for keeping account credentials secure, for managing which authorized users have access and what permissions they have, and for activity under your account. Notify us promptly at support@fielddaypro.com if you suspect unauthorized access.
3. Free first estimate, subscriptions, and billing
Free first estimate. You may build your first estimate free. Creating a free estimate does not by itself authorize any charge. Continued use of paid features requires a paid subscription.
Recurring billing. When you subscribe, you authorize us and our payment provider to charge your payment method the subscription price shown at checkout, plus applicable taxes, at the start of each billing period. Subscriptions renew automatically for the billing period shown at checkout (monthly unless otherwise stated) until cancelled. Keep your payment information current. If a payment fails or is overdue, we may suspend paid features after notice where required by law.
Cancellation. You may cancel at any time through the available account controls or by contacting support@fielddaypro.com. Cancellation stops future renewals. Paid access normally continues until the end of the current paid period.
Refunds. Fees are nonrefundable, and we do not provide refunds or credits for partial periods or unused service, except where required by law.
Price changes. We will notify you of a price change before it takes effect. A price change applies starting with your next renewal after the notice, so you have the opportunity to cancel before it applies, subject to applicable law.
Customer payments and payment-provider fees. If the service lets you accept payments from your customers, those payments are processed by Stripe, our third-party payment provider, under your payment setup and your agreements with Stripe. FieldDay takes no cut of those payments and charges no additional transaction fee on them. Stripe's processing fees and any applicable invoicing fees apply to those payments. They are separate from and not included in your FieldDay subscription, and you are responsible for them under your payment setup and your agreements with Stripe. This paragraph is about payments you collect from your customers. It does not add any fee or surcharge to your FieldDay subscription.
4. Acceptable use
Do not use FieldDay for unlawful, fraudulent, harmful, or infringing activity. Do not upload malicious code, attempt unauthorized access, interfere with the service, bypass security or usage limits, or collect other users' data without permission. Do not reverse engineer the service except where law permits. You must have the rights and permissions needed for the information you submit and the communications you send through the service.
5. Customer data ownership
"Customer data" means the information you and your authorized users submit to the service, such as your customer records, property addresses, photos, measurements, estimates, invoices, job history, and attachments.
You retain ownership of your customer data. You grant us a limited right to host, process, transmit, and display customer data to provide, secure, and support the service for you, including to send shared pages and messages you direct. This does not transfer ownership to us.
Aggregated, de-identified data. We may combine customer data with data from other customers into aggregated, de-identified information (for example, general pricing ranges or usage trends) and use it to operate, analyze, and improve the service. Aggregated, de-identified information does not identify you, your authorized users, or your customers. We will not attempt to re-identify it, and we will not disclose your customer data in a form that identifies you or your customers except as these Terms and our Privacy Policy otherwise allow.
You are responsible for the accuracy and lawful collection of your customer data, for giving any notices and obtaining any consents required to share it with us and to use it in the service, and for keeping appropriate copies of important records. Our Privacy Policy describes our information practices.
6. Estimates, measurements, and automated outputs
Estimates, satellite and aerial imagery, property boundaries, measurements, suggested prices, and automated, AI-generated, or coaching outputs are estimates only. They may be incomplete, outdated, or inaccurate and may not reflect site conditions, obstacles, or local requirements. Some features use automated processing, which may include AI models provided by third parties. FieldDay does not provide surveying, legal, tax, accounting, or other professional advice.
You are responsible for verifying measurements, labor and material assumptions, taxes, and prices before quoting customers or performing work. You are responsible for your customer agreements, the services you perform, and the results of decisions made using FieldDay.
7. Estimates, approvals, and your customer relationships
FieldDay is software. FieldDay provides tools that help you prepare estimates, invoices, and other documents and share them with your customers. FieldDay is not a contractor, does not perform landscaping or snow-removal services, and is not a party to any agreement between you and your customers.
You set the terms. You decide the final scope, price, taxes, payment terms, and other terms you offer your customers. You are responsible for meeting any legal requirements that apply to your customer agreements, such as required contract terms, cancellation or other consumer notices, licensing, and tax rules, and for performing the work you agree to do.
Electronic approvals. The service may let your customers approve or sign estimates or other documents electronically. FieldDay does not guarantee that an electronic approval, signature, or document is legally sufficient for your purpose or meets the requirements of any particular law. Where the law requires a customer's consent to use electronic records or signatures, or requires specific disclosures, you are responsible for obtaining that consent and giving those disclosures. An approved estimate or other document may create legal obligations between you and your customer. Keep your own copies of approved documents and related records.
Shared pages. Shared estimate and approval pages are accessed through links. Anyone who has a link may be able to view the page, and recipients can forward links to others. Send links only to the intended recipients, and do not include information on a shared page that should not be seen by people who receive it.
8. Communications you send
The service may let you send estimates, invoices, reminders, and other messages to your customers by email, text message, or other channels. You are the sender of those messages and are responsible for their content and for having any permissions required by law to contact each recipient, including for text messages, and for honoring opt-out requests. A phone number entered into the service is not treated by FieldDay as consent to receive marketing messages.
9. Confidentiality
We will treat non-public business information in your customer data, such as your customer lists, pricing, and job and financial records, as confidential. We will use it only to provide, secure, and support the service, to comply with law, and as these Terms or our Privacy Policy describe, and we will protect it with reasonable care. We may share it with service providers that need it to help us operate the service and are subject to appropriate confidentiality or data-protection obligations.
This section does not apply to information that is or becomes public through no fault of ours, that we already lawfully had or independently developed, or that we lawfully receive from someone else without a duty of confidentiality. We may disclose confidential information if required by law or legal process; where legally permitted and reasonably practical, we will give you notice first.
10. Third-party services
FieldDay may integrate with or rely on third-party mapping, imagery, payment, sign-in, communication, AI, and other services. Their use may be governed by separate terms and privacy policies. We do not control their availability, data, or performance. You are responsible for reviewing their terms and any related fees.
11. Intellectual property
FieldDay and its software, design, branding, and content, excluding customer data, belong to us or our licensors. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable right to use the service for your business during your authorized access. No ownership rights are transferred. Do not copy, resell, or distribute the service without permission.
12. Feedback
If you voluntarily provide suggestions or feedback, you grant us permission to use and incorporate them without payment or obligation to you. Do not include confidential information or information you are not authorized to share in feedback.
13. Service availability and changes
We work to keep FieldDay available, but uninterrupted or error-free service is not guaranteed. Maintenance, outages, security incidents, or third-party issues may affect access. Features may change over time. We will provide reasonable notice of material reductions to paid service where practicable and honor rights required by law.
14. Disclaimers
To the fullest extent permitted by law, the service is provided "as is" and "as available," without warranties of merchantability, fitness for a particular purpose, noninfringement, or accuracy. We do not guarantee particular savings, revenue, profitability, measurement accuracy, approval outcomes, or business results. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
15. Limitation of liability
Excluded damages. To the fullest extent permitted by law, FieldDay is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to the service or these Terms, even if we were told such damages were possible.
Cap. To the fullest extent permitted by law, FieldDay's total liability for all claims arising out of or relating to the service or these Terms, combined, will not exceed the greater of (a) the fees you actually paid to FieldDay for the service in the 12 months before the event giving rise to the first such claim, or (b) US $100.
Scope. These limits apply to all claims, whether based on contract, warranty, tort (including negligence), statute, or any other legal theory, and apply even if a limited remedy fails of its essential purpose. Multiple claims do not increase the cap.
Exceptions. These limits do not apply to liability that cannot be limited or excluded under applicable law, and they do not reduce your obligation to pay fees owed.
16. Indemnification
Your obligation. To the extent permitted by law, you will defend and indemnify FieldDay against third-party claims, and related losses, damages, settlements, and reasonable costs and attorneys' fees, to the extent arising from: your unlawful use of the service; your customer data; your services to, agreements with, or messages to your customers; or your violation of these Terms or of another party's rights. You are not responsible for claims to the extent caused by FieldDay's own breach of these Terms, negligence, or willful misconduct.
Procedure. We will notify you promptly of a claim we believe is covered (a delay relieves you only to the extent it prejudices your defense). You may control the defense and settlement of the claim with counsel reasonably acceptable to us, and we will reasonably cooperate at your expense. We may participate with our own counsel at our own expense. You may not settle a claim in a way that admits fault by us or imposes obligations on us without our prior written consent, which we will not unreasonably withhold.
17. Suspension, termination, and your data
You may stop using the service and cancel your subscription at any time. We may suspend or terminate access for material violations of these Terms, security risks, nonpayment, or legal requirements, with notice and an opportunity to resolve the issue where appropriate.
You can export your customer data while your account is active and for 30 days after it is closed, using the available tools or by contacting support@fielddaypro.com for help. After that 30-day period, we delete customer data within 30 days, as described in our Privacy Policy. We may retain information where required by law, to resolve disputes, or to enforce our agreements, and deleted information may remain in backups for up to 90 days until those backups are overwritten.
Termination does not remove payment obligations already incurred. Provisions that by their nature should survive termination, including ownership, confidentiality, disclaimers, liability limits, indemnification, and dispute provisions, will survive.
18. Governing law and disputes
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles, subject to mandatory laws that apply to you. Please contact us first at support@fielddaypro.com so we can try to resolve any dispute informally. Unless applicable law requires otherwise, any lawsuit arising out of or relating to these Terms or the service will be brought only in the state or federal courts located in Illinois, and both parties consent to the jurisdiction of those courts. Nothing in these Terms limits nonwaivable statutory rights.
19. Changes to these Terms
We may update these Terms from time to time and will revise the "Last updated" date. For material changes, we will give the account owner reasonable advance notice by email, in the app, or through another appropriate channel before the changes take effect, and we may ask you to accept the updated Terms through an affirmative action. Changes do not apply retroactively to disputes that arose before the updated Terms took effect. If you continue to use the service after the updated Terms take effect, they apply to your use. If you do not agree, stop using the service and cancel your subscription before the changes take effect.
20. General terms
Entire agreement and precedence. These Terms, together with the documents referenced in them and the plan and billing details shown when you subscribe, are the entire agreement between you and FieldDay about the service. If there is a conflict, plan-specific terms you accept at checkout control for that plan, and otherwise these Terms control.
Severability and waiver. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or part of our business, to an affiliate, or to a business entity formed to operate FieldDay, with notice to you.
Notices. We may send notices to the email address associated with your account or through the service. You may send notices to support@fielddaypro.com.
Independent parties. These Terms do not create a partnership, joint venture, employment, or agency relationship.
Language. We may provide these Terms in Spanish or other languages for convenience. If there is a conflict between versions, the English version controls, except where applicable law requires otherwise.
